1. Acceptance of Terms

By accessing or using Citedly's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

These terms apply to all visitors, users, and others who access or use the service. By using our service, you represent that you are at least 18 years of age and have the legal capacity to enter into these terms.

2. Description of Service

Citedly is an AI-powered SEO and Answer Engine Optimization (AEO) platform designed to help users improve their search visibility and AI citation likelihood. Our services include:

Site Crawler: Automated website crawling that detects 30+ types of SEO issues across six categories (meta, content, images, technical, links, performance) and generates health reports with actionable recommendations.
Indexing Doctor: Diagnosis tool that analyzes why pages aren't being indexed, combining Google Search Console data, crawl data, and third-party backlink analysis from DataForSEO.
SEO Chat: AI-powered assistant that answers SEO questions, analyzes URLs you provide, and offers optimization recommendations through a conversational interface.
Keyword Research: Keyword discovery powered by DataForSEO with search volume, difficulty metrics, buyer journey classification, and content format recommendations.
Content Brief Generator: AI-generated content outlines based on SERP analysis, including topic coverage, questions to answer, and structural recommendations.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the service.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password you use to access the service and for any activities or actions under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Payment Terms

Some aspects of our service are billed on a subscription basis. You will be billed in advance on a recurring periodic basis (monthly or annually), depending on the plan you select.

Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date. You can cancel your subscription at any time through your account settings or by contacting our support team.

All fees are exclusive of taxes, and you are responsible for paying all applicable taxes. Refunds are handled on a case-by-case basis at our discretion.

5. Acceptable Use

You agree not to:

Use the service for any illegal purpose or in violation of any laws
Violate or infringe other people's intellectual property, privacy, or other rights
Transmit any malware, viruses, or other malicious code
Attempt to gain unauthorized access to our systems or networks
Interfere with or disrupt the service or servers
Use the service to send spam or unsolicited messages
Impersonate any person or entity
Crawl or analyze websites you do not own or have explicit permission to analyze
Use crawl data to scrape, copy, or republish content from analyzed websites
Conduct competitive intelligence on competitors without their knowledge using our crawling tools
Attempt to circumvent usage limits or feature restrictions
Resell, sublicense, or redistribute access to the service

6. Website Crawling Terms

Our Site Crawler feature allows you to analyze websites for SEO issues. By using this feature, you agree to the following:

Ownership or Authorization: You may only crawl websites that you own, operate, or have explicit written permission to analyze. You are solely responsible for ensuring you have the right to crawl any website you add to our service.
Robots.txt Compliance: Our crawler respects robots.txt directives. However, you acknowledge that having technical access to crawl a site does not constitute permission to do so.
Rate Limiting: Our crawler operates with built-in rate limiting to minimize impact on target servers. You agree not to attempt to bypass these limits or use our service in a way that could harm target websites.
Data Usage: Crawl data is stored to provide historical analysis and track improvements over time. You may delete your sites and associated crawl data at any time.
Third-Party Sites: We are not responsible for any issues arising from your crawling of third-party websites, including but not limited to terms of service violations, legal claims, or technical issues.

7. Google Search Console Integration

Our Indexing Doctor feature offers optional integration with Google Search Console (GSC) to provide indexing diagnostics. By connecting your GSC account, you acknowledge and agree to the following:

OAuth Authorization: Connection requires explicit OAuth consent through Google. We request read-only access (webmasters.readonly scope) to your Search Console data.
Data Accessed: We access indexed URLs, coverage status, and performance data for properties you authorize. We do not access other Google account data.
Token Storage: OAuth tokens are stored securely and automatically refreshed as needed. You can disconnect your GSC account at any time through your dashboard.
Google's Terms: Your use of GSC data through our service remains subject to Google's Terms of Service and Privacy Policy.
No Modification: We only read data from GSC. We do not submit URLs, request indexing, or make any changes to your Search Console settings.

8. AI-Generated Content

Several features of Citedly use artificial intelligence to generate recommendations, content briefs, and analysis. By using these features, you acknowledge and agree:

Guidance Only: AI-generated recommendations are provided as guidance and suggestions only. They do not constitute professional SEO, legal, or business advice.
No Guarantees: We do not guarantee that following AI recommendations will result in improved search rankings, increased traffic, or AI citations. SEO outcomes depend on many factors outside our control.
User Responsibility: You are responsible for reviewing, validating, and deciding whether to implement any AI-generated suggestions. You should exercise your own judgment before making changes to your website.
AI Providers: Our AI features are powered by third-party providers including OpenAI, Anthropic, and Google. Your use is subject to their respective terms and usage policies.
Content Ownership: You own any content you create using our AI features. However, similar outputs may be generated for other users given similar inputs.
Accuracy: AI outputs may contain errors, inaccuracies, or outdated information. We make no warranties regarding the accuracy or completeness of AI-generated content.

9. Usage Limits and Fair Use

Each subscription plan includes specific usage limits for various features. These limits exist to ensure fair access for all users and maintain service quality.

Feature Limits: Limits apply to features including but not limited to: number of sites you can track, pages crawled per month, AI credits, keyword lookups, content briefs, and indexing diagnoses.
Plan-Based Limits: Specific limits vary by subscription plan. Current limits are displayed in your dashboard and on our pricing page.
Monthly vs. Lifetime: Some limits reset monthly (e.g., AI credits, pages crawled), while others are lifetime limits (e.g., number of sites). Check your dashboard for specific reset schedules.
Fair Use: Even for features listed as "unlimited," we reserve the right to enforce fair use policies if usage significantly exceeds normal patterns or impacts service quality for other users.
Limit Changes: We may adjust limits with reasonable notice. Existing paid subscribers will be grandfathered into their current limits for the remainder of their billing period.

10. Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of Citedly and its licensors. The service is protected by copyright, trademark, and other laws.

You retain ownership of any content you submit, post, or display on or through the service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with operating and improving the service.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the service will immediately cease.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. All provisions of the Terms which by their nature should survive termination shall survive.

12. Disclaimers

The service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, regarding the service, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not guarantee any specific SEO results, search rankings, or AI citation outcomes from using our service.

13. Limitation of Liability

In no event shall Citedly, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses.

Our total liability to you for any claims arising from or related to the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless Citedly and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the service or violation of these Terms, including any claims arising from your crawling of websites you did not have permission to analyze.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.
